1. Subject of Contract and Description of Services
The "Advertising" section allows advertising clients to place digital banner advertising on WeSendit.com and other Owned Media platforms of WeSendit Media AG.
Ad delivery can be country-specific or global. The geographical scope depends on the contractual agreement and the technical delivery parameters.
WeSendit provides a digital advertising service based on a CPM model (Cost per Mille). Billing is based on the number of actual ad impressions per thousand impressions according to the agreed terms.
An advertising contract is concluded by written or electronic booking and acceptance by WeSendit.
2. Ad Delivery Models
2.1 Exclusive Ad Placement
Within the framework of an exclusive placement, the advertising client is granted exclusive ad presence within the defined ad space or inventory for the agreed period.
During this period, no parallel delivery of competing advertising contents occurs within the contractually agreed placement.
Exclusivity refers solely to the concretely defined ad space and not to the entire platform, unless expressly agreed otherwise.
2.2 Standard Placement (Rotation)
In standard placement, delivery of advertising media occurs in rotation together with advertising contents of other advertising clients.
The sequence and frequency of delivery depend on technical parameters, booking volumes, and performance optimization.
A claim to a specific visibility rate, click-through rate, or conversion rate does not exist, unless expressly guaranteed by contract.
3. Country-Specific Delivery and Legal Basis
Advertising campaigns can be targeted to specific countries. Geographical assignment occurs based on technical localization methods, in particular IP-based assignment.
The advertising client is obliged to ensure that the advertising contents comply with all applicable legal regulations of the respective target market. These include in particular competition, media, youth protection, consumer protection, and data protection regulations.
Since regulatory requirements can vary from country to country, WeSendit assumes no liability for the legal admissibility of the advertising content in the respective target state.
The advertising client bears sole responsibility for compliance with all country-specific legal provisions.
4. Responsibility for Advertising Content
The advertising client guarantees that all provided advertising media are lawful and do not violate third-party rights.
This includes in particular: copyrights, trademarks, personality rights, data protection rights, and competition law.
The advertising client further guarantees that the advertising contents are neither misleading, discriminatory, criminal, nor otherwise unlawful.
WeSendit assumes no liability for content of the provided advertising media.
5. Examination and Rejection Right
WeSendit reserves the right to reject, suspend, or remove advertising media before or during placement, if: legal specifications are violated, regulatory risks exist, content violates internal policies or ethical standards, or the technical stability or integrity of the platform is affected.
A claim to the publication of specific contents does not exist.
6. Billing and Proof of Performance
Billing occurs based on the measured impressions (CPM model) as recorded by the technical systems used.
The measurement data collected by WeSendit or commissioned technical service providers are authoritative for billing.
Deviating measurement systems of the advertising client are only binding if expressly agreed.
7. Liability and Limitation of Liability
WeSendit is not liable for commercial successes, in particular not for a specific click rate, conversion rate, or revenue increase.
Liability for indirect damages, lost profits, or consequential damages is excluded to the extent permitted by law.
Liability for damages caused intentionally or by gross negligence remains unaffected.
8. Indemnity
The advertising client agrees to fully indemnify WeSendit against all third-party claims resulting from the publication of the provided advertising media, provided they are based on a breach of duty by the advertising client.
The indemnification also covers reasonable legal defense costs.
9. Data Protection and Tracking
The processing of personal data occurs in accordance with the Privacy Policy of WeSendit. The advertising client is obliged to comply with all data protection regulations, in particular when using tracking technologies or external links. WeSendit assumes no responsibility for data protection violations of the advertising client.
10. Contract Duration and Termination
The contract duration is based on the respective advertising order. During an agreed minimum term, ordinary cancellation is excluded. WeSendit is entitled to terminate the contract immediately for important reasons.
11. Final Provisions
GTC amendments, applicable law (Swiss law), and place of jurisdiction (Zug, Switzerland) are identical to the GTC of File Sharing & File Management.
